Please read these Terms of Service carefully. By using Ring0S, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing and using Ring0S ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use this Service.

Ring0S is a multi-tenant cloud communications platform that provides phone systems, messaging, calling, and related services to businesses and organizations. These Terms govern your use regardless of how you access it (web, mobile app, API).

2. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for lawful business communications
  • Receive and make calls and send/receive messages through our platform
  • Manage your workspace, contacts, and call records

You may NOT: • Resell or offer the Service to third parties • Modify or derive works from the Service • Reverse engineer or attempt to discover source code • Remove, obscure, or alter any proprietary notices • Use the Service to build competing products

3. Acceptable Use Policy

You agree NOT to use the Service for:

Illegal Activities: • Facilitating any crime or illegal activity • Drug trafficking, weapons sales, human trafficking • Money laundering, fraud, or financial crimes • Harassment, bullying, threats, or hate speech

Abuse and Harassment: • Unsolicited commercial messages (spam) violating CAN-SPAM, GDPR, CASL • Automated dialing without explicit prior consent (no unsolicited robocalls) • Harassment or threatening communications • SIM swapping, phishing, or social engineering

Technical Abuse: • Attempting unauthorized access to the Service • Introducing malware, viruses, or malicious code • Denial-of-service attacks or network flooding • Scraping, crawling, or automated access without permission • Exploiting vulnerabilities or bugs

Intellectual Property Violations: • Infringing copyrights, trademarks, or patents • Impersonating another person or organization

4. Workspace Management & Multi-Tenancy

Workspace Ownership: Each workspace is owned by a single organization or individual. You represent that you have authority to accept these Terms on behalf of your workspace.

Workspace Access: • Workspace owners control who can access and at what permission level • Each user account can access multiple workspaces • Workspace owners must maintain accurate contact and billing information • Removing a user revokes their access immediately

Workspace Suspension: We may suspend a workspace immediately if: • You breach these Terms or our Acceptable Use Policy • We detect illegal activity, fraud, or abuse from your workspace • Your account is used to facilitate third-party illegal services • Court order or legal authority demands suspension

Suspension does not erase your data; we retain information per our retention policies.

5. Phone Numbers & Telecommunications

Number Provisioning: • Phone numbers are provided for lawful communications only • Numbers remain Ring0S property; you receive a license to use them • We may reclaim unused numbers after 60+ days • Reclaimed numbers may be reassigned to other users

Carrier Terms: Ring0S uses third-party carriers (SignalWire, Telnyx, Africa's Talking, etc.) to route calls and messages. By using our Service: • You agree to comply with each carrier's terms and policies • You accept that carriers process your communications and metadata • You understand carriers may impose restrictions on number types, destinations, or use cases • International calling rates, regulations, and carrier limitations apply

Regulatory Compliance: You agree to comply with all telecommunications regulations in your jurisdiction: • Obtain prior explicit consent before sending marketing calls/SMS • Caller ID and sender identification must be accurate and registered • Respect quiet hours and do-not-call registries • Inform call parties before recording (if required by law) • Comply with data residency laws (especially in Nigeria, EU)

6. Calls, Messages, and Recordings

Recording Disclosure: If you record calls or conferences, you must comply with all applicable laws: • One-party consent: You (as a party) may record without notification • All-party consent: You must inform all participants before recording • Two-party consent countries: Recording is illegal unless all parties consent

Ring0S is not responsible for your compliance with recording laws. You must obtain any required consents.

Recording Storage and Use: • Recordings are stored in encrypted object storage • Recordings are retained per your workspace retention settings (default: 90 days) • You are responsible for ensuring recorded parties consent to storage • Upon termination, recordings are deleted per our retention policy

AI & Transcription Services: Ring0S may offer transcription and AI services: • Call audio is processed by AI providers (Groq, whisper.cpp, Cartesia, etc.) • AI processing may occur across borders • You must disclose to call participants if their calls are transcribed by AI • You remain responsible for compliance with local AI regulations

7. Billing and Payments

Pricing: • Current pricing is displayed on our pricing page and in-app • Pricing is subject to change with 30 days' notice • Changes do not apply retroactively to current billing periods

Billing Cycle: • Monthly billing cycles run from the first to the last day of the month • Invoices are generated on the first day of each month for prior usage • Usage is billed based on minutes, messages, numbers provisioned, and features

Payment Terms: • Invoices are due within 30 days of issue • Late payments accrue interest at 1.5% per month (or max allowed by law) • We may suspend your Service if payment is 15+ days overdue • Refunds are not issued for the current billing month; credit is applied to future months

Dispute Resolution (Billing): If you dispute a charge: 1. Notify us in writing within 30 days of invoice date 2. Provide a detailed explanation of the disputed amount 3. We will investigate and respond within 10 business days 4. If valid, we will issue credit; if not, we will explain the calculation

8. Limitation of Liability

Service Availability: Ring0S is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant: • Uninterrupted or error-free Service • That defects will be corrected • That the Service or servers are free from viruses or harmful components • That call quality, message delivery, or features will meet your expectations

No Warranties: We make no warranties—express, implied, or statutory—including warranties of merchantability, fitness for a particular purpose, or title.

Limitation of Damages: TO THE FULLEST EXTENT PERMITTED BY LAW: In no event shall Ring0S be liable for: • Direct damages: loss of profits, revenue, data, or business opportunity • Indirect damages: consequential, incidental, special, or punitive damages • Any damages arising from your use or misuse of the Service • Unauthorized access to your account • Third-party services or carrier failures • Regulatory fines or penalties you incur

Damages Cap: Our total liability shall not exceed: • The fees you paid us in the 12 months preceding the claim, OR • $500 USD, whichever is greater

Exception: Liability for bodily injury, death, fraud, or gross negligence cannot be excluded.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ring0S, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: • Your violation of these Terms • Your use of the Service in violation of applicable law • Your infringement of any third-party intellectual property rights • Claims that content you upload or transmit violates a third party's rights • Your misuse of provisioned phone numbers or services • Regulatory fines or enforcement actions you trigger through Service misuse

This indemnification survives termination of these Terms.

10. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy, which details how we collect, process, and protect your data.

Key points: • We process call records, messages, metadata, and user information • Processing is necessary to provide the Service and comply with law • You have rights (access, deletion, portability) per applicable data protection law • We comply with GDPR (EU users), CCPA (California users), and NDPR (Nigeria users)

11. Dispute Resolution & Governing Law

Governing Law: These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction, excluding its conflict of laws principles.

Dispute Resolution Process: Before litigation, both parties agree to: 1. Informal Resolution: Good-faith negotiation for 30 days 2. Escalation: If unresolved, escalation to management level 3. Mediation (optional): Either party may propose binding/non-binding mediation 4. Arbitration or Litigation: If mediation fails, disputes proceed accordingly

Class Action Waiver: To the fullest extent allowed by law, you and Ring0S agree that any proceedings will be conducted on an individual basis, not as part of a class action.

12. Changes to These Terms

We may update these Terms at any time. Changes are effective when posted to our website. Your continued use after changes constitutes acceptance.

Material changes (affecting your rights or obligations) will be announced via email to your workspace contact with at least 30 days' notice.

If you do not accept updated Terms, you must terminate your workspace before the effective date.
